CONSENT ORDER AND UNDERTAKINGS [VARIANCE OF APRIL 7 and 24, 2009 ORDERS]

WHEREAS DATA GATHERING SERVICE INC. dba FIRST CANADIAN PROTECTION PRODUCTS (ALBERTA) and MILLENNIUM INSURANCE CORPORATION and Staff of the Superintendent of Financial Institutions consent to a variance of the April 7 and 24 2009 Orders and Undertakings issued and provided in this matter this matter;

I HEREBY ORDER: 1. That the Undertaking in paragraph 1(a) of the April 24, 2009 Order be varied to take into consideration extraprovincial regulatory obligations by providing as follows:

(a) With regard to the Order set forth in paragraph 3 (page 13) of the April 7, 2009 Order issued in this matter, Millennium Insurance Corporation ("Millennium") undertakes to proceed with arranging to provide direct certificate holder recourse to Millennium which will honour all certificates currently in-force that were sold in the Province of British Columbia through data Gathering Service Inc. Millennium will report to the Superintendent by August 4, 2009 to confirm that Millennium has put in place a process which such certificate holders can directly seek recourse from Millennium, in order to comply with the Order of April 7, 2009

2. That paragraph 1(e) of the April 24, 2009 Order is varied to extend the dates set forth in that paragraph, including 1(e)(i) and (li) to August 26, 2009.
